Terms of Service

Welcome to ARC Agent. These Terms of Service (“Terms”) govern your access to and use of the ARC Agent application, APIs, and related services (collectively, the “Service”). By signing up or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

1. Eligibility & account

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at shawnhaman9@gmail.com if you suspect unauthorized access.

2. Authorized use

You may use the Service to:

• Connect your own Google, Microsoft, or third-party accounts you are authorized to use;
• Build, configure, and run AI agents that act on your data;
• Send communications to recipients you have permission to contact;
• Process and store meeting recordings you have permission to record under applicable law.

3. Prohibited use

You agree not to use the Service to:

• Violate any law, including anti-spam (CAN-SPAM, CASL, GDPR), wiretapping, or recording-consent laws;
• Send unsolicited bulk email beyond what your sending infrastructure is authorized for, or to recipients who have opted out;
• Record meetings without the consent required in your jurisdiction;
• Reverse-engineer, scrape, or attempt to extract Google user data outside the Limited Use scope described in our Privacy Policy;
• Probe, scan, or test the vulnerability of the Service or attempt to bypass security controls;
• Resell, redistribute, or sublicense the Service without our prior written agreement.

4. Connected accounts and third-party services

The Service depends on third-party APIs (Google, Anthropic, Deepgram, Twilio, and others listed in the Privacy Policy). Your use of those APIs through the Service is subject to the third party's own terms. ARC is not responsible for outages, rate limits, or behavioral changes in those APIs.

5. AI-generated output

The Service uses large language models to generate text, summaries, and actions. AI output may be incorrect, biased, or otherwise unsuitable. You are responsible for reviewing AI-generated output before relying on or sending it. ARC does not warrant the accuracy of AI-generated content.

6. Your content

You retain ownership of all data, messages, transcripts, and other content you submit to or generate through the Service (“Your Content”). You grant ARC a non-exclusive, worldwide, royalty-free license to host, copy, transmit, and display Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models.

7. Fees

If you subscribe to a paid plan, the fees and billing terms in force at the time of your subscription apply. We may change fees with at least 30 days' notice. All fees are non-refundable except where required by law.

8. Termination

You may stop using and disconnect from the Service at any time. We may suspend or terminate your access if you breach these Terms, abuse the Service, or expose us to legal risk. On termination, your right to use the Service ends immediately, and Sections 9, 10, 11, and 12 survive.

9. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICE. ARC'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID ARC IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

11. Indemnity

You agree to indemnify and hold harmless ARC and its operators against any claim, damages, liability, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in San Francisco County, California, and you consent to that venue.

13. Changes

We may update these Terms periodically. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
